Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the AFN Solutions website (afn-solutions.com) and our outsourcing services. By visiting our website or entering into a service agreement with us, you confirm that you have read, understood, and agree to be bound by these Terms.

If you are accessing this site or entering into an agreement on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree with any part of these Terms, please do not use our website or services. We are always happy to discuss any concerns — reach us at legal@afn-solutions.com.

Our Services

AFN Solutions provides premium business process outsourcing (BPO) and technology services from Antsirabe, Madagascar. Our core service areas include:

AI Model Training & Data Operations

Data annotation, labeling, quality review, and human-in-the-loop evaluation for AI and machine learning pipelines.

E-commerce Back Office

Product catalog management, order processing, customer support, returns handling, and marketplace operations.

Web & SaaS Development

Custom website and web application development, platform integrations, and ongoing technical support.

The specific scope, deliverables, timelines, and pricing for any engagement are defined in a separate Statement of Work (SOW) or Service Agreement signed between AFN Solutions and the client. In the event of any conflict between these Terms and a signed SOW, the SOW prevails for that specific engagement.

Client Obligations

A successful engagement is a two-way street. To allow AFN Solutions to deliver excellent work, clients agree to:

  • Provide timely input: Respond to requests for clarification, approval, or feedback within the timeframes agreed upon in the SOW. Delays in client responses may result in adjusted delivery timelines.
  • Grant necessary access: Provide the credentials, tools, documentation, and system access required for our team to perform the services.
  • Ensure data legality: Confirm that any data shared with AFN Solutions is handled in compliance with applicable laws and that you have the rights to share it with us.
  • Use services lawfully: Not use our services for any activity that is illegal, harmful, or in violation of third-party rights.

Intellectual Property

Work product

Unless otherwise specified in a signed SOW, all work product created by AFN Solutions specifically for a client project becomes the client's property upon full payment. This includes code, designs, processed data sets, and other deliverables.

AFN Solutions IP

Our proprietary tools, frameworks, workflows, training materials, and any pre-existing intellectual property we bring to a project remain the exclusive property of AFN Solutions. Clients receive a license to use such tools only to the extent necessary to use the deliverables.

Website content

All content on this website — including text, graphics, logos, and code — is owned by AFN Solutions or licensed to us. You may not reproduce, distribute, or use it without our written permission.

Confidentiality

We take confidentiality seriously. Client data, business processes, pricing, and strategic information shared with us are treated as strictly confidential. Our team members sign confidentiality agreements and are trained on proper data handling.

In return, we ask clients to keep confidential any non-public information about AFN Solutions' internal operations, pricing models, and proprietary methodologies.

For engagements that require it, we are happy to sign a separate Non-Disclosure Agreement (NDA) before sensitive discussions begin. This is standard practice for us.

Payment Terms

Specific payment amounts and schedules are defined in each SOW or Service Agreement. Unless otherwise agreed in writing:

  • Invoices are issued on the schedule defined in the SOW (monthly, per milestone, or project-based).
  • Payment is due within 14 days of invoice issuance.
  • Late payments may incur a monthly interest charge of 1.5% on the outstanding balance.
  • We reserve the right to pause service delivery on accounts with overdue balances after written notice.
  • All prices are exclusive of applicable taxes, which are the client's responsibility.

Quality & Performance

We are proud of our work and committed to delivering it well. Each SOW includes agreed-upon quality metrics and acceptance criteria. If work does not meet these standards, we will revise it at no additional cost within the revision terms defined in the SOW.

We do not guarantee outcomes that depend on factors outside our control — such as third-party platform changes, client-side system availability, or shifts in market conditions. What we do guarantee is that our team will show up, communicate openly, and do our best work.

Issues should be raised within 7 business days of deliverable receipt. After this window, deliverables are considered accepted.

Limitation of Liability

To the maximum extent permitted by applicable law, AFN Solutions' total liability for any claim arising out of or related to these Terms or our services shall not exceed the total fees paid by the client in the three (3) months preceding the event that gave rise to the claim.

AFN Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, loss of data, or loss of business — even if we were advised of the possibility of such damages.

Nothing in these Terms excludes liability that cannot lawfully be excluded, such as for fraud or gross negligence.

Termination

By either party

Either party may terminate a service engagement with 30 days' written notice, unless otherwise specified in the SOW. Upon termination, you are responsible for fees accrued up to the effective termination date.

For cause

Either party may terminate immediately if the other party materially breaches these Terms and fails to remedy the breach within 14 days of written notice. AFN Solutions may also terminate immediately for non-payment or fraudulent activity.

After termination

Upon termination, we will deliver all completed work product and return or destroy client data as requested. Confidentiality obligations survive termination indefinitely.

Governing Law

These Terms are governed by the laws of the Republic of Madagascar. In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If that fails, disputes shall be submitted to the competent courts of Antananarivo, Madagascar, unless an alternative forum is agreed upon in writing.

For international clients, we are open to including international arbitration clauses in individual service agreements.

Changes to Terms

We may update these Terms as our services evolve or as laws change. Updated Terms take effect immediately upon posting to this page. For active clients under a signed agreement, the version of the Terms in effect at the time of signing governs that agreement unless we notify you otherwise.

We will update the "last updated" date at the top of this page whenever changes are made. For significant changes, we will notify active clients directly.
